BY-LAWS
(Revised and accepted on December
6, 2011)
Article I NAME AND PURPOSE
Section 1. The name of the organization is the Flower Mound Bass Club and may be referred to later as FMBC or the club.
Section 2. The purpose of the FMBC is to promote organized competitive bass tournaments involving individuals as well as families and guests. The club will also promote conservation and community service.
Section 3 It is the hope and expectation of the founders of the FMBC to minimize the expenses incurred by its members by keeping entry fees low and expecting non-boaters to share the expenses.
Article II MEMBERSHIP
and PARTICIPATION
Section 1. Persons 17 years of age and families may become members upon payment of dues. Guests may also participate with limitations.
Section 2. New members shall receive copies of the membership list, the club by-laws, and tournament rules.
Article III MEMBERSHIP; DUES; and
VOTING
Section 1. Annual membership will be $20.00 for an individual over 17 and $30.00 per family. A man and woman who are co-habituating will be considered as a family. The family membership includes spouses, co-habitués, and children less than 17 years of age.
Section 2 Each person shall have only one vote. Members with family memberships will have two votes provided that two of them over 17 are present and voting. Those persons under 17 have no votes. Proxy votes will not be accepted.
Section 3 Voting will be by show of hands or by secret ballot, at the discretion of the president.
Article IV TOURNAMENT SEASON; DATES, and MONTHLY MEETINGS
Section 1. The club season will be from January 1st through December 31, with ten (10) tournaments conducted from February through November. The Rusty Robbins Classic will be held two weeks after the last tournament in November. The annual awards party will be held during the following January. A member must fish at least 5 events to be eligible for any award at the annual awards party. There will be no tournaments in December and January.
Section 2 The monthly meeting will be conducted on the first Tuesday of each month at 7:00 PM at a place to be determined by the board of directors. Tournaments will be conducted on the Saturday immediately following unless there is a necessity to re-schedule.
Section 3 All events will be draw tournaments. You can only fish with the same draw partner a limit of 2 times per season. If drawn a 3rd time a re-draw will take place to determine your partner for that event. Club members will be allowed to vote on having occasional night tournaments or a buddy tournament.
Article V BY-LAW
CHANGES
Section 1 Any by-law change will be voted on by those present at the regular meeting in December and/or the last meeting of the year. Before a by-law change can occur that proposed change must be brought to the attention of the membership and voted on at the December meeting. Any change will be in effect immediately after the vote is taken.
Article VI OFFICERS and BOARD OF DIRECTORS
Section 1 The principal officers will be elected at the December meeting and will hold office for the next year. The principal officers of the FMBC are the president, vice-president/activity director, secretary, treasurer, and tournament director. These officers will serve as the board of directors.
Article VII DUTIES
Section 1 The PRESIDENT will be the chief executive of the club and will preside over the meetings.
The VICE-PRESIDENT will assume the duties of the president in the event of his absence. In addition, he will assist the president as requested. This position also includes the club’s ACTIVITY DIRECTOR.
The SECRETARY will keep the minutes, maintain club records and keep the website updated. Those records will be relinquished to the incoming secretary or to the president following an election.
The TREASURER will be the custodian of all funds of the club; will collect all dues and tournament entry fees; will issue all checks for tournament prizes; will issue payment of all bills; and will prepare and present a financial report at each monthly meeting.
The TOURNAMENT DIRECTOR will be responsible for overseeing the tournaments and making decisions regarding matters pertaining to that tournament. In the event of a disagreement with the decision of the tournament director, the decision can be delayed until a vote can be taken by the officers present or at the next regularly scheduled meeting.
The schedule to be followed will be chosen by popular vote at the regular meetings.
Section 2 Any action taken by the board of directors or any of its members shall be reported at the monthly membership meeting. The action shall be approved unless objected to by any member, at which time a vote by the membership present shall be taken to either approve or reject the action.
Article VIII FINANCES
Section 1 The treasurer will be responsible for receiving and paying all moneys and will give a detailed report at each monthly meeting.
Section 2 Any expense over $100.00 will be pre-approved by the board of directors.
Section 3 Any uncollected check must be redeemed in cash before the member can participate in an additional tournament or other club event. Any fee associated with that uncollected check will also be the responsibility of the member.
Section 4 Each member will be held responsible for any uncollected checks or other expenses incurred by a guest that the member brought to an event.
Article IX GUESTS
Section 1 A member in good standing will be allowed to sponsor 3 GUESTS per season. That member and his guest must occupy the same boat during the tournament. A member may not bring guests to back to back tournaments.
Section 2 The sponsoring member will be responsible for the conduct and all monetary matters concerning the guest.
Section 3 A person may fish in a club tournament as a guest two times per year. If that guest should join the club during the same year, any points accumulated in the previous two tournaments will be awarded him or her.
Section 4 Guests will not receive club awards other than any deserved monetary prize.
Article X EXPULSION
Section 1 Each member is expected and required to be courteous in all matters. Any degree of intoxication or any conduct that brings discredit on the club is grounds for disciplinary action up to and including expulsion. Any infraction of proper conduct or club rules will be dealt with according to the nature and extent of the violation. Disciplinary action could include loss of stringer for a tournament and/or expulsion. The action to be taken will be decided by the club officials present. The action can be delayed if necessary to conduct further investigation into the matter. The member has no rights of appeal.
Article XI DISSOLUTION PROCESS
Section 1 The club may dissolve by an affirmative vote of the majority of the club members. In that event, all outstanding debts will be discharged and the remaining assets will be donated to a non-sectarian charity by action of the executive committee.
